PREAMBLE
We Citizens of the United States of America, associate ourselves for the purpose of maintaining a private club in Carbon County in the Commonwealth of Pennsylvania, and to own, operate, and supervise the use of property and facilities of all kinds for recreational activities including, but not limited to, hunting, boating, fishing, swimming, and any other sporting and/or athletic activity; to operate and maintain private roads, water supply systems, sewage disposal systems and other service facilities in the County of Carbon and, in general, to do all things incidental to operating and maintaining a sportsmen’s club.
MEMBERSHIP CREED
Our Agreement with, and Our Acceptance of this set of By-Laws reflect both the Merits of these Principles, and Our Willingness to Work at Understanding and Adhering to what GOOD OF THE CLUB means. We Understand and Acknowledge that Our Mission Statement is to Respect, Promote and Protect the Traditions of Our Club; that we Acknowledge that Our Club is composed of ALL OUR MEMBERS IN GOOD STANDING; that Our Club is SHARED EQUALLY by All Our Members; that no one Member has any right to priority treatment, or special privilege over another Member FOR ANY REASON CONTRARY to the Provisions of Our By-Laws; that Each Member has, within the Provisions of Our By-Laws, the Right to Enjoy both the Use of Our Club, and the Innate Beauty of Our Club; that Each Member has an Obligation to Respect the Perceptions of All Other Members regarding what Our Club Means to Them – EQUALLY AND WITHOUT PREJUDICE OR EXCEPTION; that it is in Our Best Interest, both Individually and Collectively, to Acknowledge the Efforts of those Members who do perform those many, thankless tasks which serve to make Our Club a better place for all of us – those same Members who do not openly seek to be acknowledged. We Agree To Do Our Best For Our Club, and To Give Our Best To Our Club.

Finally, WE UNDERSTAND that there may be times when the Only Resolution to a particular problem will be simply, to Agree To Disagree, and then to FOLLOW OUR RULES for the OVERALL
GOOD OF THE SILVER RIDGE HUNTING CLUB!
ARTICLE I
NAME AND LOCATION
SECTION 1: IDENTIFICATION
This Association shall be named, known, and styled as
SILVER RIDGE HUNTING CLUB, INC.
SECTION 2: LOCATION
The Principal Location and Office Address of this Association shall be:

ARTICLE II
MEMBERSHIP
SECTION 1: REQUEST FOR MEMBERSHIP
Any person desiring SENIOR MEMBERSHIP STATUS as defined in Article II, Section A (below), shall make Application through any
Non-Probationary Senior Member of this Association who is in Good Standing.
SECTION 2: AGE REQUIREMENTS
A. SENIOR MEMBERSHIP shall be offered to any Applicant, Eighteen (18) Years of Age or older, subject to the Provisions of Article II, Section 4, A through F. He/she shall be of Good Character, and shall BE FREE OF Prosecution and Conviction for any Violation of PA Game Laws, as well as any/all Laws Governing the Conduct of the Members of Our Club.
B. JUNIOR MEMBERSHIP shall be offered to any Child, Grandchild, or Legal Dependent of a Club Member in Good Standing - said Applicant being less than Eighteen (18) Years of Age. Such JUNIOR MEMBER shall be subject to all the Laws and Provisions that

regulate Senior Members. Any person joining the Association as a JUNIOR MEMBER must have the Written Consent of his/her Father/Mother, Adult Brother/Sister, Grandfather/Grandmother, or Legal Guardian who must be a Club Member in Good Standing. Such Consent shall be turned over to the Treasurer of Our Club. In the event that the Father/Mother or other Sponsor of the JUNIOR MEMBER resigns, loses Membership status, or dies, he/she may retain his/her Junior Membership status, providing he/she is able to obtain another Qualified Senior Member to sponsor him/her until reaching age (18) Eighteen.
B 1. PLEASE NOTE THAT A JUNIOR MEMBER under the age of Sixteen (16) MAY NOT BE PRESENT ON CLUB GROUNDS FOR ANY REASON, TO INCLUDE HUNTING ON CLUB GROUNDS, UNLESS ACCOMPANIED BY a Senior Non-Probationary Member having the Verifiable Consent and Permission of his/her Parent or Guardian. Additionally, all Junior Members are bound by Club Rules, PA Game Commission Laws, and any/all other Applicable Laws, as stated herein.
B 2. When a JUNIOR MEMBER reaches Eighteen (18) Years of age, it is the Responsibility of Said Member to submit an Application for Adult Membership to the Treasurer of Our Club, either in person or by mail.
B 3. JUNIOR MEMBERS, after submitting an Application for Senior Membership, and being in Good Standing, and having at least one full year of Club Membership, will be accepted, without the Probation-Year Requirements of Article II, Section 7, at the next Regular Club Meeting.
B 4. Dues will not change until the following year. This transition to Senior Membership will not require the payment of an Initiation Fee.

SECTION 3: MENTORED YOUTH HUNTING PROGRAM
“The Mentored Youth Hunting Program (PGC) is designed to allow youngsters under Twelve (12) Years of Age to gain hunting experience and learn at an early age about Pennsylvania’s rich hunting heritage.” MENTORING PARTICIPATION WILL BE ALLOWED ONLY
for the Children of Club Members who have become Junior Club Members and who are less than Twelve (12) Years of Age.
ANY CHILD, MENTORING (HUNTING) THROUGH THE MENTORING PROGRAM, MUST BE THE CHILD OF A SENIOR, NON-PROBATIONARY CLUB MEMBER WHO IS IN GOOD STANDING, OR A CHILD WHO IS UNDER THE LEGAL GUARDIANSHIP OF A SENIOR, NON-PROBATIONARY CLUB MEMBER WHO IS IN GOOD STANDING. PLEASE NOTE THAT “A MENTOR IS RESPONSIBLE AND ACCOUNTABLE FOR ALL ACTIONS OF THE MENTORED YOUTH OCCURRING WHILE ENGAGED IN HUNTING OR RELATED ACTIVITIES (PGC). A MENTOR WHO ALLOWS A MENTORED YOUTH TO ENGAGE IN AN UNLAWFUL ACT SHALL BE PUNISHABLE (PGC) AS THE PRINCIPAL OFFENDER.” SAID MENTOR MUST BE A SENIOR, NON-PROBATIONARY MEMBER OF OUR CLUB IN GOOD STANDING. HE/SHE MUST BE A LICENSED PENNSYLVANIA HUNTER, AND MUST BE AT LEAST TWENTY ONE (21) YEARS OF AGE (PGC). The Mentored Youth MUST BE A JUNIOR CLUB MEMBER and MUST BE LISTED on the Club Hunting Roster (PGC). The Applicable Laws and Regulations of the Pennsylvania Game Commission WILL APPLY. The Applicable Club Rules and By-Laws WILL APPLY.

SECTION 4: CHOOSING NEW SENIOR MEMBERS
New SENIOR MEMBERS will be selected in the following order:
A. JUNIOR MEMBER TRANSITION. PLEASE NOTE THAT the selection of a Junior Member in Good Standing to Adult Senior Membership is considered TO BE AUTOMATIC upon the reading
of his/her Application for Senior Membership at the next General Membership or Special Membership Meeting. This selection
WILL NOT be considered in conflict with the Minimum,
Senior Dues-Paying Membership Count.
B. FAMILY MEMBERS of the Sponsoring, Non-Probationary Senior Member in order such as Spouse, Children Grandchildren, then the DIRECT BLOOD LINE to include Mother, Father, Sister, Brother, Grandmother, Grandfather, Aunt, Uncle, Niece, Nephew, Cousin.
C. IMMEDIATE IN-LAWS of the Sponsoring, Non-Probationary Senior Member i.e. Mother-In Law, Father-In-Law, Sister-In-Law, Brother-In-Law.
D. ANY APPLICANT of the Sponsoring, Non-Probationary Senior Member in Good Standing, with such Applicant residing within a 15-mile radius of Weatherly.
E. ANY APPLICANT of the Sponsoring, Non-Probationary Senior Member in Good Standing, with such Applicant residing within a 30-mile radius of Weatherly.
F. ANY APPLICANT of the Sponsoring, Non-Probationary Senior Member in Good Standing, with such Applicant residing anywhere in the United States of America.
PLEASE NOTE THAT a Club Member who is qualified to sponsor Applicants for Senior Membership, may Sponsor ONLY ONE (1) APPLICATION for Senior Membership during any/all Given Application Periods per Article II, Section 6-C.

Additional Applications will not be permitted until the Sponsored, Pending Applicant has been voted in, or voted out, or withdrawn.
SECTION 5: POSTING OF APPLICANTS
A list of all Applicants for Membership and his/her Sponsor shall be posted at the Clubhouse. This list will be updated upon the receipt of New Applications. This list also will contain the Names and Phone Numbers of all Membership Committee Persons, thus enabling any/all Members to offer insight, or to voice an opinion as to why an Applicant should or should not be accepted. A Complaint or a Negative Opinion MUST BE BROUGHT to the Attention of said Committee. Should the Complaint and/or Negative Opinion warrant further investigation, it then MUST BE PRESENTED in a Signed, Prepared Statement to the Committee. Action to investigate the Allegation or Complaint shall be accomplished by said Committee. The Committee, at all times, will report its findings to the Officers and Directors of the Association, either at a Regular Membership Meeting, or at a Directors’ Meeting.
SECTION 6: MEMBERSHIP COUNT
A. The Active Membership Count will consist of no less than ONE HUNDRED FIFTY (150) SENIOR, Full-Dues-Paying Members.
This Membership Count must be Maintained and Kept Current with New Applicants. JUNIOR MEMBERS moving up to SENIOR MEMBER status do so usually on a random basis. This WILL NOT hinder the maintenance of the SENIOR, FULL-DUES-PAYING Quota, and may result in an increase of the Membership Count from time to time.
B. The Association Membership will consist of Seventy Percent (70%) from the Weatherly Area, but can exceed that percentage. Should the Members included in Article II Section 4-F exceed the Thirty Percent
(30%) Quota, or should the Club not match the Seventy Percent (70%) Quota, the President shall have the authority to waive either or both the Seventy (70%) Percent and the Thirty (30%) Percent Quotas.

C. Applications will be accepted for SENIOR Membership from January 1st through February 28th each year (February 29th in a Leap Year).
If/when the number of Applications accepted exceeds the available Membership openings, those Applications accepted but not immediately voted in will be kept on file until December 31st of the year following
the year of the Application date. Said Applicants may be considered/reconsidered for Membership Status during this time of Retention should future openings occur. A Membership Application Drive may also be opened at other times for acceptance at the discretion of the Board of Directors, according to Section 5 (listed above), in order to maintain the Minimum ONE HUNDRED FIFTY (150) SENIOR, Full-Dues-Paying Membership Status.
D. New Applicants will replace any Member dropped from the Active Membership Rolls, as well as Members who have passed away.
E. Applications for JUNIOR MEMBERSHIP will be accepted at any time during the year.
SECTION 7: PROBATIONARY MEMBERSHIP
A. A New SENIOR Member will be accepted into Our Club as a Probationary Member. Probationary Members will be required to pay Initiation Fees and Dues for that year as set forth in Article III, Section 1, entitled INITIATION FEE, and Section 2, entitled ANNUAL DUES.
B. The Term of Probation will be One (1) Year from the date of Acceptance into Our Club. The Probationary Member must give at least TWENTY FIVE (25) HOURS of Documented Service Time to the Club (i.e., ground maintenance, building and/or field work. etc.).
These hours May Not Be Deducted from Dues. Additionally, a Probationary Member May Not Vote, Make a Motion, Serve on a Committee, or Sponsor a New Applicant for either Junior or Senior Membership during this Probationary Period.

C. At the end of the One (1) Year Probationary Period, the Probationary Member’s Name and Hours will be brought before the Club Membership at said month’s meeting, at which time the Members in attendance will vote to accept/reject the Probationary Member for Active Senior Membership Status. IF ACCEPTED, the Probationary Member becomes an Active Senior Member and no further action is warranted.
IF REJECTED, the Probationary Member Will Return all Clubhouse and Gate Keys to the Treasurer immediately. Dues will be prorated and refunded as warranted. Initiation Fees are not refundable.
ARTICLE III
DUES
SECTION 1: INITIATION FEE
The Initiation Fee for New Senior Members shall be TWO HUNDRED ($200.00) DOLLARS. This is payable along with the First Year’s Dues of ONE HUNDRED ($100.00) DOLLARS when accepted for Probationary Membership.
SECTION 2: ANNUAL DUES
Each Senior Member shall be REQUIRED to pay Dues in the sum of ONE HUNDRED ($100.00) DOLLARS per year. Membership Dues are payable in advance. Any/all of this amount may be Credited by working on the Association’s Work Projects at the rate of ONE ($1.00) DOLLAR per hour Credited toward the next Calendar Year Dues. Dues MAY NOT BE WORKED OFF beyond the next Calendar Year.
This Crediting Method of paying Dues will cease for all Members (Senior, Probationary, Junior) when the aggregate hours worked by the Association Members reach Two Thousand (2,000) Hours in the Calendar Year. When the Two Thousand (2,000) Hour limit has been reached, the Treasurer will announce same and any remaining Dues not worked off will be paid on the basis of what remains of his/her Yearly Dues initially owed.

PLEASE NOTE THAT it will be necessary for Members to report their hours to be Credited for the next Year’s Dues to the Treasurer not later than December 15th of each year in order to receive proper Credit on a timely basis.
SECTION 3: ANNUAL DUES FOR JUNIOR MEMBERS
The Dues for JUNIOR MEMBERS shall be TWENTY FIVE ($25.00)
DOLLARS per year. This amount may be Credited by work on the Association’s Work Projects at the rate of ONE ($1.00) DOLLAR per
hour Credited toward the next Calendar Year. When announced by the Treasurer, Work Credit for Dues ceases when the aggregate hours worked by the Association Members reaches Two Thousand (2,000) Hours in the Calendar Year. Any remaining Dues not worked off will be paid on the basis of what remains of the Yearly Dues initially owed.
SECTION 4: ASSIGNING CREDIT FOR TIME WORKED OFF DUES
No Member of this Association may assign any Credit for work done by him/her on Association Work Projects to any other Member.
SECTION 5: RESIGNATION/LOSS OF MEMBERSHIP
As SENIOR MEMBERS resign their Membership, or as Members are lost due to death, those openings will be filled, as outlined in Article II,
Section 4, with SENIOR, Full-Dues-Paying Members. There will be no less than ONE HUNDRED FIFTY (150) SENIOR, Full-Dues-Paying MEMBERS.
SECTION 6: MEMBERSHIP TERMINATION OPTIONS
Members requesting to be dropped from the Active Membership Roster will be considered to be in GOOD STANDING. All Clubhouse and Gate Keys must be returned to the Treasurer. PLEASE NOTE THAT any Initiation Fees and/or Dues that may be required for Future Reinstatement shall be decided at a Regular Membership Meeting by an Affirmative Majority Vote of the Members Present and Voting. Delinquent Members who are dropped from the Association, NOT IN GOOD STANDING, Cannot be Reinstated until the Delinquent Dues and any Assessments, as

well as any New Initiation Fees and Dues that May Be Required, are paid prior to any Reinstatement resulting from an Affirmative Majority Vote of the Club Members.
SECTION 7: REDUCED DUES and HONORARY MEMBERS
A. Any Senior Member having reached the age of Sixty (60) prior to December 31, 1997, with Ten (10) Years of Consecutive Membership, will be assessed FORTY ($40.00) DOLLARS PER YEAR for Membership Dues. He/she WILL NOT BE REQUIRED to Buy Tickets, and will retain Full Rights and Privileges in the Association.
B. Any Senior Member having reached the age of Sixty Five (65) prior to DECEMBER 31, 1997, and having Ten (10) Years of Consecutive Membership, will be Exempt from Paying Dues, Buying Tickets, and will retain Full Rights and Privileges in the Association.
SECTION 8: DUES EXEMPTIONS
Any Member of this Association who is seriously ill, or bedridden, shall be Exempt from Paying Dues and Buying Tickets, and will be carried on the Association Membership Roster until such time as he/she will be off the sick list and can pay his/her Dues again. Said Member will retain his/her Full Rights and Privileges in the Association. Please note that
all determinations as to a Member’s Eligibility for this Provision shall be made by the Club Officers and the Board of Directors, and Affirmed by a Voice Vote of the Club Members Present and Voting at a Club Meeting.
SECTION 9: MILITARY SERVICE and COLLEGE STUDENTS
A. Any Member, Drafted or Enlisting in the Military Service, will be Exempt from Paying Dues and Buying Tickets for ONE (1) Tour of Duty. Upon Voluntary Reenlistment for a Second Tour of Duty, the Member will be notified that Dues are now required to be paid. The Member will retain Full Rights and Privileges in the Association. If the Member is a National Guardsman or a Reservist and is Deployed for Active Duty, his/her Dues will be Waived until the Tour of Duty is over. Full Rights and Privileges in the Association will be retained.

B. Any Full-Time College Student will be Exempt from paying Dues and Buying Tickets. Proof of Student-Status must be provided to the Treasurer of the Association by January 31st of the New Dues-Paying Year . The Student will retain Full Rights and Privileges in the Association.
SECTION 10: DUES PAYABLE
Dues are payable from January 1st until January 31st of each year.
After January 31st, any Member in arrears of his/her Dues will be notified by the Treasurer of same via Certified Mail or some other Signature Confirmation method. IF THE ARREARAGES ARE NOT PAID WITHIN FIFTEEN (15) DAYS OF RECEIPT OF SAID NOTIFICATION, SAID MEMBER WILL BE DROPPED AUTOMATICALLY FROM THE CLUB MEMBERSHIP ROLLS. BONDS WILL BE REDEEMED. KEYS WILL BE RETURNED TO THE TREASURER. IF THE DUES ARE PAID WITHIN THE FIFTEEN-DAY LATE PERIOD, A LATE FEE OF FIFTY ($50.00) DOLLARS WILL BE ASSESSED ALONG WITH ALL BACK DUES OWED.
SECTION 11: ASSESSMENTS and FUND RAISING
All Senior and Probationary Members may be required to Pay Assessments, Sell Tickets, or Perform Similar Activities during the Membership Year. The Board of Directors shall present to the Membership, at any Meeting (Regular or Special), any Proposal Deemed Necessary for the Club to meet its Financial Obligations.
The Proposal Will List the Type of Fund Raiser or Assessment, the Amount that Each Member Will Be Required to Pay or Sell, and the Date that All Members MUST TURN IN the funds from the above-mentioned Activities to the Treasurer. The Proposal must be Approved by a Majority of the Club Members Present and Voting at the Club Meeting. Any/All Member(s) not meeting the obligation(s) set forth in any Approved Proposal or Activity, by the Due Date Prescribed, will be Notified by the Treasurer of the ARREARAGE via Certified Mail, or some other Signature Confirmation method.

IF THE REQUIRED OBLIGATION IS NOT PAID WITHIN FIFTEEN (15) DAYS OF RECEIVING SAID NOTIFICATION, SAID MEMBER AUTOMATICALLY WILL BE DROPPED FROM THE ASSOCIATION MEMBERSHIP ROLLS. ALL KEYS MUST BE RETURNED TO THE TREASURER. AFTER RECEIPT OF SAID KEYS, BOND(S) WILL BE REDEEMED. PLEASE NOTE THAT DUES WILL NOT BE REFUNDED. IF THE ARREARAGE IS PAID WITHIN THE FIFTEEN-DAY LATE PERIOD, A LATE FEE OF FIFTY (50%) PERCENT OF THE FUNDS OWED WILL BE ASSESSED IN ADDITION TO THE FUNDS OWED (Example: TWENTY DOLLARS ($20.00) Owed plus a 50% Late Fee of TEN DOLLARS ($10.00) Equals THIRTY DOLLARS ($30.00) Owed).
ARTICLE IV
MEETINGS
SECTION 1: CLUB MEETING DATES
A General Membership Meeting shall be held on the First Sunday of every month unless postponed or rescheduled because of a holiday, or a conflicting affair, or the like. December’s Meeting will be held on the Sunday before the Opening Day of Pennsylvania’s Rifle Buck Season.
SECTION 2: Our Club Meetings shall be patterned after, and conducted within the tenets of Robert’s Rules of Order. The Officers and Directors may agree to amend/emend the Rules from time to time to accommodate any Special or Particular Need(s) of Our Association. Please note that any such Amendment alteration/change may take place only after Agreeing To, and Following the Procedures set forth in Article XVIII, Section 1. This includes the Timely and Proper Notification of the Voting Senior Membership that an Amendment Change is being planned, thus affording All Interested and Concerned Voting Members the opportunity to participate in the Vote(s).

SECTION 3: BOARD OF DIRECTORS
The Board of Directors shall meet at least Once per Quarter.
The Board shall present a Report of the Results of That Meeting to the Membership at the next Regular or Special Membership Meeting.
SECTION 4: GRIEVANCES
A Grievance Must Be Written, Signed, Dated and Presented in Person by the Individual(s) with the Grievance at any Scheduled Club Meeting to the Officers and the Board of Directors. All Parties involved MUST BE PRESENT at any Scheduled Hearing for any Deposition to be taken, and/or for any Resolution to be reached. Any Party not attending said Deposition and/or Hearing without Good Cause will be Declared in Violation, and will lose his/her Cause. Please note that a Grievance
May Be Filed by any Junior, Probationary, or Senior Member For Cause.
SECTION 5: SPECIAL MEETING – GENERAL MEMBERSHIP
A Special Meeting of the General Membership may be called by the President whenever he/she deems it Necessary, or upon the receipt of a Written Request signed by Three (3) Directors and Two (2) Officers, or upon the receipt of a Written Request signed by Twenty (20)
Non-Probationary Senior Members of the Association.
SECTION 6: SPECIAL MEETING – BOARD OF DIRECTORS
A Special Meeting of the Board of Directors shall be called by the President whenever he/she deems it Necessary, or at the Written Request signed by Three (3) Directors and Two (2) Officers.
SECTION 7: NOTICE OF SPECIAL MEETINGS
All Club Members shall be entitled to Two (2) Weeks Notice of any Special Club Membership Meeting.

ARTICLE V
NOTICES
The Members at a Regular or a Special Meeting, or the Board of Directors at a Regular or a Special Meeting SHALL REQUIRE that Notice of any Particular Meeting will be given by Advertisement in at least One (1) Daily Newspaper of General Publication, and an Official, Legal Newspaper in the County of Carbon, as well as such other Cities, Towns, Boroughs, or Villages in the Commonwealth of Pennsylvania as is Deemed Necessary. All Notices WILL BE POSTED on the

ARTICLE VI
WAIVER OF NOTICES
SECTION 1: REQUIRED NOTICE EQUIVALENCY
Unless otherwise provided by law, when a Notice is REQUIRED to be given by the Provisions of Our By-Laws, a Waiver-In-Writing, signed by the person or persons entitled to such Notices, whether before or after the time stated therein, shall be equivalent thereto.
ARTICLE VII
OFFICES, OFFICERS and DIRECTORS
SECTION 1: IDENTIFICATION OF OFFICES
The Offices of the SILVER RIDGE HUNTING CLUB, INC. shall be identified as President, Vice-President, Recording Secretary, Treasurer, and Clubhouse Steward/Custodian. Each Member in Good Standing, elected to an Office by a Vote of the General Membership, shall serve for a One-Year Term of Office with No Re-election Term Limits Imposed.
SECTION 2: THE BOARD OF DIRECTORS
A. The Board of Directors shall consist of Five (5) Members.
They will be Three (3) Directors elected by the Membership, and
Two (2) Officers, appointed by the President at the Beginning of each Fiscal Year, to serve on the Board of Directors for that Fiscal Year.

B. Each Director will serve a Three-Year (3) Term with a Mandatory One-Year Hiatus between any/all future term(s). Each Directorship will come up for Election on a Staggered, Three-Year Basis.
SECTION 3: WAIVER OF DUES
The Officers and Directors WILL NOT be required to pay Dues while performing the Duties of their Individual Offices. Additionally, when an Officer or a Director leaves his/her post in any given year, having served for more than half that year, he/she will be presumed to have earned Full Work-Hour Credits for the next year’s Dues by virtue of his/her Office Duties, and his/her Participation in Club Work Projects.
SECTION 4: MINIMUM SERVICE TIME
Any Member in Good Standing, to be Eligible for Election to an Office or a Directorship, shall be Required to have a Minimum of Three (3) Years Senior Club Membership in Good Standing.
ARTICLE VIII
DUTIES OF OFFICERS
SECTION 1: PRESIDENT
The President SHALL BE the Chief Executive Officer (CEO) of this Association. HE SHALL PRESIDE at the Meetings of the General Membership, and at the Meetings of the Board of Directors. HE SHALL HAVE the Responsibility for the General and Active Management of the Business of this Association. HE SHALL SEE AND DIRECT that All Orders and Resolutions of the Board of Directors are carried out.
HE SHALL EXECUTE ALL Bonds, Mortgages, and Contracts of this Association, affixing Our Corporate Seal thereto. HE SHALL EXERCISE the General Superintendence and Direction of All Officers and Directors of this Association and see that Their Duties are Properly Performed. HE SHALL SUBMIT a Report on the Operations of this Association for each Fiscal Year to the Board of Directors concerning All Matters with the scope of his purview, relative as to how those matters may affect this Association.

HE SHALL APPOINT all Committees as provided herein under Article XVI. HE SHALL BE, ex-officio, a member of all Standing, and all Special Committees. Finally, HE SHALL HAVE the Powers, Duties, and Management Capacity usually vested in the Office of the President of a Corporation.
SECTION 2: VICE-PRESIDENT
The Vice-President SHALL BE VESTED WITH all the Powers Necessary to Perform the Duties of the President in his absence.
HE SHALL HAVE, from time to time, Other Duties as may be determined by the Board of Directors. In the event that there shall be more than one Vice-President, then there shall be a First Vice-President, a Second Vice-President, a Third Vice-President, and so on, depending on whether there should be that many Vice-Presidents.
In the event that the President shall be absent from any Meeting, the First Vice-President SHALL PRESIDE. If neither is present, then the Second Vice-President shall preside, and so on.
SECTION 3: RECORDING SECRETARY
The Recording Secretary SHALL ATTEND all General Meetings and Record the Minutes and all Votes of such Meetings, which are to be kept in a Book or some other Recording Device for Future Reference.
HE SHALL, WHEN REQUESTED OR REQUIRED, perform Like Services for all Committees. HE SHALL Send Notices of All Meetings to the Board of Directors. HE SHALL BE the Custodian of the Corporate Seal and of the Books and Records of the Association.
HE SHALL PERFORM any/all other such duties as may be prescribed by the President, or by the Board of Directors.
SECTION 4: TREASURER
The Treasurer, under the Direction of the Board of Directors,
SHALL HAVE CHARGE OF the Funds and Financial Records of this Association. HE SHALL DEPOSIT SAME in the name of this Association in the depositories so designated by the Board of Directors. HE SHALL PAY Vouchers or Orders properly attested by the President

and the Recording Secretary. HE SHALL MAKE a Complete and Accurate Report of the Finances of this Association at each General Meeting of the Membership, and /or at any other time upon the Request of the Board of Directors. The Treasurer shall be given an Honorarium each month, as determined by the Membership, for performing the Duties of the Office.
SECTION 5: CLUBHOUSE STEWARD/CUSTODIAN
The Steward/Custodian SHALL PERFORM, or may DELEGATE
and/or DESIGNATE the following Duties and Responsibilities to a
Committee(s) as approved by the President:
A. He SHALL COORDINATE All Club Activities and Events
with the Board of Directors and the Officers of the Club.
B. He SHALL OVERSEE THE Clubhouse Rental Activity.
C. He SHALL OVERSEE the Purchase of All Foods and
supplies needed for the Club’s events, as well as oversee the
daily Operations of the Clubhouse.
D. He SHALL OVERSEE a Beverage Operation for Club
Members’ use only.
E. He SHALL BE the Chairman of the Clubhouse Operations Committee.
F. He SHALL PRESENT All Bills Incurred for the Club’s
Operations and Events to the Treasurer.
G. He SHALL ATTEND all Board of Directors Meetings where any problems pertaining to Clubhouse Operations will be resolved.
SECTION 6: ATTENDANCE TO OFFICE
The Officers SHALL ATTEND at least Seventy Five (75%) Percent of the Association Membership Meetings.
SECTION 7: COUNSEL
The Counsel shall be the Legal Advisor of the Association.

ARTICLE IX
BONDS
SECTION 1: BONDING REQUIREMENTS
The Board of Directors may require such Officers to be BONDED as it shall deem Prudent and Necessary.
ARTICLE X
DUTIES AND POWERS OF THE BOARD OF DIRECTORS
SECTION 1: MEMBERS OF THE BOARD
The Property and Business of this Association shall be managed by the Board of Directors, which shall consist of Three (3) Directors and Two (2) Officers as described in Article VII, Section 2, A and B.
SECTION 2: MANAGEMENT DUTIES AND POWERS
In addition to the General Powers Assigned to the Board of Directors by virtue of their Offices, the Powers and Authority expressly given by Law, and by the Terms of the Charter of this Association, as well as ALL OTHER PROVISIONS provided elsewhere in these By-Laws, the following Powers are EXPRESSLY CONFERRED on the Board of Directors:
A. To purchase or otherwise acquire for the Association any Property, Right, or Privilege which it is authorized to acquire at such price or consideration, and upon such terms as they deem expedient, within the parameters set forth by these By-Laws. Such activity as described herein, where not specifically waived or exempted within these By-Laws, will be presented to the Club Membership at a Regular Club Meeting for Discussion and an Approval Vote by the Club Members Present and Voting.
B. To determine who shall be authorized, on behalf of this Association, to sign bills, notices, receipts, acceptances, contracts, and any other debt instruments; to delegate any of the Powers of the Board of Directors to any Standing Committee, or to any Officer or Agent of this Association, as the Board of Directors may see fit to delegate and grant; and generally,

to do all such lawful acts and things as are not by Law, nor by Charter, nor by these By-Laws directed or required to be done by the Members.
SECTION 3: ACTIONS OF THE BOARD OF DIRECTORS
Any Action which may be taken at a Meeting of the Board of Directors, may be taken without a Meeting if Consent in Writing, setting forth the Action so taken, shall be Signed by All Directors and Filed by the Recording Secretary of this Association.
SECTION 4: CONDUCTING A MEETING
In the absence of the President, the Vice-President shall conduct the Club Meeting. In the absence of both the President and the Vice-President,
a Member of the Board of Directors shall conduct the Club Meeting.
ARTICLE XI
NOMINATIONS, ELECTIONS, and TERMS OF OFFICE
SECTION 1: CONDUCTING ELECTIONS
The Election of Officers and Directors shall be held ANNUALLY at the Meeting of this Association on the Sunday before Pennsylvania’s Rifle Buck Season. The Nominations for Officers and Directors WILL OPEN at the Regular Meeting of the Association held in the First Week of September. The Nominations of Officers and Directors WILL CLOSE at the Regular Meeting on the First Sunday in November. The General Membership Present and Voting at the above-described meeting shall elect the Officers and the Members of the Board of Directors.
SECTION 2: PROCEDURE
The General Membership shall elect the Officers per the Requirements set forth in Article XI, Section 1.
